Ritch Mueller advises on two finance deals
Ritch Mueller has acted as counsel in two separate banking and finance transactions, advising Truist Bank on a USD 185 million syndicated loan increase to Evertec and Altum Capital on the structuring of a MXN 335.9 million credit facility to Inmovitur.
Ritch Mueller represented Truist Bank, acting as administrative and collateral agent, in the USD 185 million increase of a syndicated loan to Evertec. The proceeds were used to refinance borrowings drawn under Evertec’s revolving credit facility, which had originally been incurred in connection with the acquisition of Dimensa, a B2B technology provider for the financial sector based in Brazil.
The transaction spanned multiple jurisdictions, including Mexico, Puerto Rico, the Dominican Republic, Costa Rica, Guatemala, Panama, Brazil, and the United States. The Ritch Mueller team was led by partner Pablo Perezalonso Eguía (pictured), supported by Patricio Valenzuela Guzmán.
Several other firms advised on the matter across jurisdictions: Cahill Gordon & Reindel acted as counsel to the borrower and transaction manager; Latham & Watkins served as New York counsel to the loan parties; Creel, García-Cuéllar, Aiza y Enríquez acted as Mexican counsel to the loan parties (Evertec); Pietrantoni Méndez & Álvarez advised as Puerto Rican counsel; Headrick Rizik Alvarez & Fernández served as Dominican Republic counsel; BLP Costa Rica and BLP Guatemala advised in their respective jurisdictions; Dentons Panamá acted as Panamanian counsel; and Mattos Filho, Veiga Filho, Marrey Jr. e Quiroga Advogados served as Brazilian counsel.
Altum Capital real estate credit facility
In a separate transaction, Ritch Mueller represented Altum Capital in the structuring of a MXN 335.9 million credit facility granted to Inmovitur, intended to finance real estate development projects. The deal was domestic in scope, with no cross-border jurisdictions involved.
The Ritch Mueller team was led by partner Gabriel Robles Beistegui, with support from Ana María Guerrero Rivera and Luis Ernesto Brieño Jiménez. Villanueva Ortíz Abogados acted as counsel to WLT on the transaction.
