Demarest & Lefosse advise on LMG deal
Demarest Advogados advised Bromeliads Pharma Participações, the Brazilian investment vehicle of India-based Strides Pharma group, in the negotiation and execution of a share subscription and share purchase agreement for the acquisition of a 51% controlling interest in LMG Lasers – Fabricação, Comércio, Importação e Exportação, a company engaged in the development, manufacturing, importation, commercialization and technical support of electromedical equipment for surgical, dermatological and aesthetic treatments for both professional and home use. The closing of the transaction remains subject to the fulfillment of certain conditions precedent.
Lefosse acted as legal counsel to Emil Carlos Salmão and Abdo Salmão Junior, founders and ultimate shareholders of Holding LMG Lasers, in connection with the same transaction. While Bromeliads acquired the controlling stake, Holding LMG retained a significant minority position and remained a key strategic partner for the company’s next phase of growth.
The deal was structured to support LMG’s international expansion plans and potential future capital markets access, and involved the negotiation of a complex governance and economic framework between the Indian investor, the founding shareholder and its founders.
The investment in LMG follows Bromeliads’ joint venture in Evopharma, a Brazilian aesthetics platform, and represents another step in the Indian investor’s expansion strategy in Brazil’s healthcare, aesthetics and medical equipment market.
