Mattos Filho advises Sinqia on BB Chain deal
Mattos Filho advised Sinqia, a subsidiary of Evertec, on the acquisition od 67% equity stake in BB Chain (Connecting Blocks Consultoria), a Brazilian blockchain infrastructure startup focused on asset tokenization, for BRL 28 million. The closing of deal remains subject to customary conditions precedent.
Mattos Filho represented Sinqia in the transaction, while the sellers—Pitang Consultoria e Sistemas together with individuals André Luiz de Souza Carneiro and Rodrigo Gonçalves Bueno—were advised by Da Fonte Advogados.
The transaction marks Evertec’s expansion into the digital assets market through the development of blockchain-based financial products. In addition to the initial 67% stake purchase, the agreement includes a call option over the remaining 33% of BB Chain, which Sinqia may exercise until 2029.
Mattos Filho advised Sinqia and relied on partner Luciana Pietro Lorenzo, alongside associates Lucas Ruggero in São Paulo, David Gandelman Kelman in Rio de Janeiro, and Maria Clara Alves de Araujo Tarzia in São Paulo.
