Lefosse advises Esseco on Hidromet acquisition

Lefosse provided legal advice to Esseco Group on the acquisition of 100% of the quotas of Hidromet Comércio e Indústria, a company operating in Brazil’s ferrous sulphate monohydrate market with an established position in animal nutrition and feed supplements.

The transaction involved the negotiation and drafting of the quota purchase agreement and ancillary documents, conditions precedent, price adjustment mechanisms, earn-out provisions, and indemnification and warranty clauses, through to the closing of the deal.

The acquisition forms part of Esseco Industrial’s international growth strategy and strengthens the group’s presence in Latin America, a region the company considers strategic for its industrial and commercial development. Through the deal, Esseco do Brasil will broaden its product portfolio and enter the animal nutrition segment, integrating manufacturing and technological expertise that complements the group’s existing chemical operations.

From an industrial standpoint, the integration of Hidromet adds specialized production technology and a product line that is complementary to Esseco’s chemical value chain, along with available production capacity that offers further growth potential. The deal is also expected to reinforce Esseco’s commercial platform in Brazil and open opportunities in other Latin American markets.
