B&E counsels Vesta Sowftware on acquisition of Amisoft and Kpitec

Barros & Errázuriz has counselled Vesta Software Group Latam in the acquisition from Inversiones Tandem (ITSA) and Sociedad de Inversiones Inversoft (SIISA) of 100% of the shares subscribed and paid by the sellers in the company Amisoft Ingeniería and 100% of the shares subscribed and paid by ITSA in Kpitec.

As a result of this transaction, completed on 12 March, Vesta Software becomes the sole shareholder of Kpitec and Amisoft. EDN Abogados acted as advisor to the sellers.

The advice involved the negotiation and preparation of the purchase and sale of shares, labour contracts, a co-debt and joint and several bond, the division, capital increase and change of management of Kpitec and Amisoft, transfer of trademarks, and letters of resignation and termination of directors. The firm also advised Vesta Software in obtaining a Foreign Investor’s Taxpayer Identification Number (Rut de Inversionista Extranjero) from the Chilean Tax Service in order to carry out the purchase of the shares.

Amisoft and Kpitec develop, market, and maintain comprehensive software platforms, called LEXOFT and Erian Doc, designed to enable electronic processing of (i) judicial and administrative courts, tribunal, or other similar entities; (ii) non-contentious voluntary proceedings that require intervention by ordinary, or special courts, or administrative entities with certain restricted jurisdictional powers; and (iii) arbitrational tribunals.
