Bofill Mir advises Recorrido.cl on merger with Busbud

Bofill Mir Abogados has represented Recorrido.cl on the integration of its business with Busbud Inc.

 Bofill Mir Abogados has advised Recorrido.cl, an online bus route platform, on the integration of its business with Busbud Inc, a Canadian global bus ticketing company, which granted a stake in its company to Recorrido’s shareholders as part of the transaction.

The advice included the structuring, negotiation and drafting of the relevant documents for the transaction, including the share purchase agreement, the shareholders’ agreement that will bind Recorrido’s shareholders in Busbud; antitrust issues; and coordination with the other law firms involved in the transaction.

This transaction, closed on 26 January, involved the participation of McCarthy Tetrault as counsel to Recorrido in Canada, in relation to the due diligence of Busbud Inc. and all Canadian aspects of the transaction; and of Apparcel Uriarte & Vassallo Abogados in relation to the due diligence that Busbud Inc. carried out in relation to Recorrido in Chile. Busbud was advised by Deloitte in Chile and Fasken in Canada.

McCarthy Tetrault’s team was led by partner Shawn Doyle, with support from associates Mireille Trottier and Valerie Trudeau.

Apparcel Uriarte & Vassallo Abogados was composed of partner Consuelo Mackenna and associate María Ignacia Valdés.

Deloitte’s team included Ruby Sorteras, Oliver Ortiz and Ignacio Pinochet.
