Bruchou and Beccar Varela act in new issue of Vista Notes

Bruchou & Funes de Rioja has advised Vista Energy Argentina (Vista), and Beccar Varela the underwriters, in the issuance of the Additional Class XXIII Notes and the Class XXIV Notes.

The issue took place on 3 May, where the Additional Class XXIII Notes -simple, non-convertible into shares, denominated, integrated and payable in US dollars abroad-, were issued for a par value of USD $32,202,616; and the Class XXIV Notes -simple, non-convertible into shares, denominated, integrated and payable in US dollars abroad-, were issued for a par value of USD $46,561,789.

In addition, the issue was made under the Global Programme for the issuance of short, medium or long-term simple marketable debentures (non-convertible into shares) for a maximum amount of up to US$800,000,000 (or its equivalent in other currencies or units of value).

The Additional Class XXIII Notes, maturing on 6 March 2027, will accrue interest at a fixed interest rate of 6.50% nominal per annum and will repay 100% of the principal in a single payment on their maturity date. In turn, the Class XXIV Notes will accrue a fixed interest rate of 8% nominal annual interest and will amortise the principal in 4 consecutive half-yearly instalments per half-year in arrears.

The Notes have also been admitted for listing on the Argentine Stock Exchanges and Markets and authorised for trading on the Electronic Open Market. On 24 April, FIX SCR Risk Rating Agent (Fitch Ratings Affiliate) and Moody’s Local AR Risk Rating Agent, on the same date, rated the Notes as “AAA(arg)” and “AAA.ar”, respectively, with a “stable” outlook.

Allaria, Banco de la Provincia de Buenos Aires, Balanz Capital Valores, Banco BBVA Argentina, Banco CMF, Columbus IB Valores, Facimex Valores, Banco de Galicia y Buenos Aires, Global Valores, Industrial and Commercial Bank of China (Argentina), Invertir en Bolsa, Macro Securities, Banco Patagonia, PP Inversiones, Puente Hnos, Banco Santander Argentina, SBS Trading and Banco Supervielle acted as underwriters.

Florencia Hardoy and Rosario Maffrand acted as in-house counsel for Vista.
