BVA advise on the JV between SememBras and Boa Safra
BVA – Barreto Veiga Advogados advised on the transaction which SememBras and Boa Safra have established a joint venture, SBS Green Seeds, to operate in the regenerative agriculture seed market, fostering sustainable farming practices in Brazil.
This transaction, aligned with the increasing M&A activity in the agribusiness sector, marks the entry of a new player into a market valued at BRL 1.73 billion in the livestock sector and BRL 85 million in agriculture. SBS Green Seeds will focus primarily on the production, storage, and commercialization of seed mixes used for soil cover, pasture formation, and cover crops.
Boa Safra will initially hold a 30% equity interest in SBS Green Seeds, with the option to increase its stake to up to 60% through convertible debentures and exchangeable loans totaling BRL 45 million, in which Boa Safra is the creditor. This transaction reinforces Boa Safra’s position in a market estimated at BRL 2.5 billion.
