Carey counsels on sale of Claro DTH to Tu Ves
Carey has counselled Inversiones DTH on the sale of 100% of the shares of Claro DTH to Tu Ves. Claro DTH is the vehicle set up by Claro for the operation of its satellite television (DTH) business in Chile and which was transferred to Inversiones DTH, acting as a fiduciary agent, to carry out the divestment process of the DTH business imposed by the FNE as a necessary condition to approve the merger between Claro and VTR.
This transaction was closed on 29 December, with Honorato Delaveau (HD) acting as advisor to Tu Ves.
The firm’s advice ranged from the coordination of the legal and financial due diligence process, to the preparation and negotiation of the corresponding closing documents, ensuring the operational continuity of the DTH business.
Miguel Oyonarte acted as in-house counsel to ClaroVTR.
HD’s team included partner Gonzalo Delaveau, director Mauricio Riesco, and associates Paulina Castro and Demetrio Barros.
