Carey represents TransNetwork in Inswitch acquisition

Carey has locally represented TransNetwork, a Houston-based B2B Fintech digital payments processing platform, in the acquisition of Inswitch Group through the purchase of the shares of its UK-based parent company, Inswitch Holding, which operates in more than 30 countries in Latin America, offering, among others, banking, ecommerce and digital payments services.

This transaction closed on 29 February and involved the jurisdictions of Uruguay, Chile, Colombia, Peru, Argentina, Brazil, Central America, the US and the UK. Other participating firms were Beccar Varela, Brigard & Urrutia, Guyer & Regules, Rodrigo Elías & Medrano, Mayora & Mayora and Veirano Advogados as counsel to TransNetwork in Argentina, Colombia, Uruguay, Peru, Guatemala and Brazil, respectively, and A&L Goodbody as counsel to Inswitch.

The transaction was challenging due to the growing importance of the Fintech industry in Latin America and the regulatory changes it is undergoing in the region, including an evolution in financial regulations in several countries in the region, which seek to balance innovation and consumer protection.

José Cortés acted as in-house counsel to TransNetwork.
