Cerolini & Ferrari in creation of Pelayo’s SME Notes Programme
Cerolini & Ferrari Abogados has advised Pelayo Agronomía (Pelayo) in the creation of the first global programme suitable for the issuance of negotiable bonds under both the Régimen PyME CNV and the Régimen PyME CNV Garantizada of Argentina, under the terms of section IV, chapter VI, title II of the rules of the Comisión Nacional de Valores, for up to a nominal value of 15,092,282 UVAs.
Also, prior to the creation of the Programme, Pelayo successfully placed, during the years 2022 and 2023, three series of negotiable bonds under the CNV Guaranteed PyME Regime.
Pelayo is a national capital company, whose main activity is the sale on consignment of cereals, i.e., it acts as an intermediary in the grain trade, mainly in the provinces of La Pampa, Buenos Aires, San Luis and Córdoba. Since its beginnings, it has been dedicated to the sale of agricultural inputs (agrochemicals, seeds and fertilisers) and, over time, it has incorporated other activities such as the development of agriculture and livestock, seed multiplication and production, and soil and seed laboratory services. Pelayo is headquartered in General Pico, La Pampa province, and has 10 branches located within the same province and in the west of Buenos Aires province.
