Cerolini & Ferrari in Pelayo Series III Notes issue

Cerolini & Ferrari Abogados has advised on the issuance of Series III Negotiable Obligations of Pelayo Agronomía, under the PyME CNV Guaranteed Regime for an amount of US $2.909.859.

The issue was made on 30 March, at a price of 102% and a nominal annual interest rate of 1%, with a maturity date of March 2026, and principal amortised in five instalments, each of them equal to 20% of the value.

The offer was addressed to the local market and the Notes have been authorised to be listed and traded on the Mercado Abierto Electrónico (MAE).

Banco de Galicia y Buenos Aires and Banco CMF acted as arrangers, placement agents and guarantors of the Notes.

Pelayo is a company dedicated to the wholesale, on commission or on consignment, of cereals, rice, oilseeds and fodder, seeds, fodder grains, fertilisers and pesticides. It is also active in the cultivation of wheat, corn, soybeans, sunflower and grains. The company has a physical presence in Argentina and has 10 branches in the provinces of Buenos Aires and La Pampa.

Enrique Cullen acted as in-house counsel for Banco de Galicia y Buenos Aires; while Miriam Gonzalez, Cristian Rios and Sebastian Calzetta acted as in-house counsels for Banco CMF.
