Cescon Barrieu advises on Rio Claro FII offering

Cescon Barrieu advised BTG Pactual Serviços Financeiros Distribuidora de Títulos e Valores Mobiliários and Capitânia Invest on the public offering of units from the first issuance of the single class of Limited Liability Units of the Centro Logístico Rio Claro Fundo de Investimento Imobiliário Responsabilidade Limitada (Centro Logístico Rio Claro FII), a real estate investment fund.

The transaction, conducted under the automatic registration procedure pursuant to CVM 160, raised a total of BRL 81,853,240.00. BTG Pactual Serviços Financeiros acted as lead underwriter for the offering.

Cescon Barrieu’s mandate covered all legal aspects of the offering on behalf of the lead underwriter. This included advising on the structuring of the offer, providing guidance on applicable corporate and securities laws, and drafting the underwriting agreement, the distribution commencement and closure notices, and the documents required for registration of the offering with B3 and CVM, among other transaction-related documentation.
