Cescon Barrieu on the acquisition of Complexo AP46 by Megalabs

Cescon Barrieu advised Megalabs Farmacêutica on the acquisition of 100% of the interest in the SPV that owns Complexo Senna Almeida Prado 46, a laxative used as an adjuvant in the treatment of constipation that helps in the proper functioning of the intestine.

Its formula has a natural origin that provides benefits to the functioning of the intestine and an active ingredient (sodium picosulfate). The acquisition is integrated into Megalabs’ gastroenterology line, increasing the group’s presence in pharmacies with a high-volume product.

The transaction included the negotiation of a perpetual licensing of Almeida Prado and related trademarks, which will be used by both Megalabs Group in the commercialization of Complexo 46 and the sellers in the commercialization of other products of the Almeida Prado portfolio.

Cescon Barrieu advised Megalabs and relied on partners Manoela Darcy de Oliveira Miranda, Tania Karina Liberman, Isabela Bagueira Leal Coelho do Val and associates Nina Brito, Julia Diniz, Ana Luiza Coelho and Bernardo Skornicki.

Madrona Fialho acted as legal counsel to sellers and relied on partner Danilo Mininel and associates Lidia Rossi, Lucas Grilli and Marina Murad.
