Lefosse assists Bluemacaw in transaction with Patria Investments
Lefosse has acted as legal counsel to BlueMacaw and its shareholders in the structuring, negotiation of the share purchase agreement related to the sale BlueMacaw Gestora to VBI Real Estate, in the negotiation of several ancillary agreements related to the transaction (including in relation to the transfer of the management of funds), as well as providing regulatory advice.
A relevant portion of BlueMacaw Gestora de Recursos, comprising the investment management of four Brazilian real estate investment funds (FIIs), was sold to VBI Real Estate Gestão de Carteiras (part of Pátria group).
In addition, as part of the transaction, Marcelo Fedak, controlling shareholder of BlueMacaw Gestora de Recursos, subject to the satisfaction of certain regulatory and contractual obligations, shall become partner and head of Pátria’s real estate division.
The management of the four FIIs was taken by VBI Real Estate through a corporate transaction which involved the acquisition of a spun-off portion of Bluemacaw.
With the transaction, VBI Real Estate adds the BlueMacaw’s FIIs to its eight listed investment funds, holding 12 funds in its portfolio, totaling R$ 6.9 billion in assets under management.
