Cleary counsels on offers to purchase Televisa notes

Cleary Gottlieb has counselled HSBC (Securities) Inc. and Santander US Capital Markets as dealer managers in the cash tender offers for five series of notes of Grupo Televisa (Televisa).

The offers consisted of (i) an offer to purchase any and all of Televisa’s outstanding 4.625% Notes due 2026, and (ii) offers to purchase Televisa’s outstanding 5.000% Notes due 2045, 5. 250% due 2049, 6.625% due 2025 and 6.125% due 2046, in an aggregate principal amount of up to US$300 million less the aggregate amount of the 4.625% notes due 2026 accepted for purchase in the tender offer for such series of notes.

The tender offers were launched on 26 July 2023. The tender offer for the 4.625% notes due 2026 expired on 2 August 2023 and was settled on 7 August 2023.  The offers for the remaining notes had an early maturity on 8 August 2023 and were settled early on 10 August 2023.

Televisa is a telecommunications company that owns and operates one of the largest cable companies as well as a leading direct-to-home satellite pay television system in Mexico. Televisa also holds a series of concessions from the Mexican government that authorise the company to broadcast programming through television stations.
