Clifford Chance advises on MSU Green Energy notes

Clifford Chance has counseled Santander US Capital Markets LLC, as initial purchaser, on the issuance of US$130 million in additional 9.750% senior secured notes due 2036 by Argentine company MSU Green Energy. The transaction, structured as a reopening of an existing notes issuance, was conducted under Rule 144A and Regulation S of the US Securities Act of 1933, as amended.

Chocón Hidroeléctrica Argentina guarantees the notes issued by MSU Green Energy. Clifford Chance also advised DEG – Deutsche Investitions- und Entwicklungsgesellschaft mbH and Development Finance Institute Canada Inc. (FinDev), which participated in the transaction as development finance institution investors. The firm had previously advised the initial purchasers on the original offering of the notes.
