Demarest advise Cantu on the acquisition of GP Pneus

Demarest advised Cantu on the acquisition of GP Pneus. In the context of the transaction, Cantu is disbursing R$ 800 million in equity (R$ 350 million in cash and the remainder in shares) and assuming an additional R$ 280 million in debt, resulting in an enterprise value of R$ 1.080 billion for GP Pneus.

The transaction will be carried out through the merger of GP Pneus into Cantu, so that, upon the closing of the transaction, the shareholders of GP Pneus will hold 9.2% of the post-merger capital stock of Cantu valued at R$ 5 billion.

The transaction is still subject to the fulfillment of several conditions precedent, including the approval by CADE.
