Dentons represents Adepa in alliance with Inversis

Dentons’ global team, including its team in Chile, has represented Adepa in its alliance with Inversis.

The closing of this transaction is subject to the approval of the Luxembourg Commission de Surveillance du Secteur Financier (CSSF), upon which Inversis will acquire a 40% stake in Adepa. The acquisition also includes an option for Inversis to increase its stake in Adepa to 100% within seven years.

The objective of this alliance is to accelerate the international growth of both companies, both in the management company and fund administration businesses, and to expand and offer asset and wealth managers local solutions in their home markets, as well as a Luxembourg domiciled solution for cross-border needs.

Adepa is an independent fund management and administration company based in Luxembourg, with a presence in Italy, Spain and Chile. The company is licensed to manage and administer both UCITS and alternative investment funds, covering a wide range of asset classes, including real estate, private equity, derivatives, commodities and fixed income funds.

Inversis, a subsidiary of the Banca March Group, offers institutional clients global solutions for the distribution of investment funds.

Adepa’s in-house team consisted of CEO Carlos Alberto Morales, CFO Cristóbal Oraa, legal and compliance director Francisco García Figueroa and deputy CEO and business development director Alessandro D’Ercole.

Dentons acted with a cross-border team from Italy, Spain, Luxembourg and Chile, led by Milan partner Pier Francesco Faggiano. The Italian team also included partner Andrea Fiorelli, lawyers Claudio Segna and Matteo Chinaglia, and trainee Sergio Del Balzo.

Luxembourg’s team consisted of partners Namik Rami and Jean Luc Fisch, senior associates Clémence Personne and Maria Rodriguez, associate Jade Serres, and counsel Vincent Quittre.

The Spanish team was represented by partners Jesús Durán, Fernando Gutiérrez and María Cortizas, senior associates Jorge Carmona and Diego Carrera and associate Álvaro Barturen
