DLA Piper and TCA in issuance of Additional Class 2 Notes of Edenor

DLA Piper Argentina has represented Empresa Distribuidora y Comercializadora (Edenor) and Tanoira Cassagne Abogados the underwriters, in the placement of the Additional Class 2 Notes denominated and payable in US dollars at a fixed rate maturing on November 22, 2024 in the amount of US$ 30,000,000.

The issue was made on 7 March 2023 and will pay interest semi-annually in arrears on 12 May and 12 November of each year, all under the framework of the Global Programme for the Issuance of Simple Negotiable Obligations (not convertible into shares) for a nominal value of up to US$750,000,000 (or its equivalent in other currencies).

The Notes will be additional to the class 2 Notes previously issued by Edenor on September 22, 2022, having identical terms and conditions in all respects, except for the issue date, the issue price and the first interest payment date. As such, they are fungible with each other and constitute a single class of debt securities, with a total nominal value of US$ 60,000,000.

Global Valores, Balanz Capital Valores, Banco de Servicios y Transacciones, Banco Mariva, SBS Trading, Invertir en Bolsa, Macro Securities, Adcap Securities Argentina, Cocos Capital and PP Inversiones acted as underwriters.

Edenor will use all the net proceeds from the issue to invest in infrastructure projects.

Edenor is the largest electricity distributor in Argentina in terms of number of customers and electricity sold.

María José Pérez Van Morlegan, Federico Ponelli and Sabrina Belén Hernández acted as in-house counsel to Edenor.
