Echecopar on financing to Niagara for Enel purchases in Peru
Estudio Echecopar, associated with Baker & McKenzie International, has advised a conglomerate of banks on a USD 2.1 billion financing granted to Niagara Energy for the purchase of Peruvian companies from the Italian group Enel.
The conglomerate was composed of Banco Santander, BBVA Securities, Citigroup Global Markets, JPMorgan Chase Bank and Natixis New York Branch (through its subsidiaries or branches).
Niagara Energy is a Peruvian company controlled by Actis, a leading global investor in sustainable infrastructure that acquired (i) 92.3% of the shares of Enel Generación Perú and (ii) 100% of the shares of Compañía Energética Veracruz.
This transaction was very complex and demanding due to the large amount of assets of the target companies in Peru. The acquisition of Enel Generación Perú was carried out through a takeover bid in accordance with Peruvian regulations.
