Ferrere advises Nyne Waters on acquisition of Indusur assets

Ferrere, through its Paraguay team, has advised Nyne Waters on the acquisition of several assets from Indusur. The acquisition was closed in early June, and included brands, vehicles, non-registrable assets and real estate in Paraguay.

The objective of the deal is to develop a water treatment plant, including high-tech bottling facilities for the extraction, treatment, bottling and distribution of clean technology water for consumption. The locally manufactured products are expected to be distributed throughout the Americas and Europe.

The advisory included the structuring of the acquisition of Indusur’s assets, as well as the restructuring of Indusur’s debt to secure the assets for the company’s indebtedness, resulting in a distressed acquisition.

In addition, due to the location of the properties, a strategy had to be put in place to correct the ownership status of the properties to ensure that no contingencies were passed on to Nyne Waters as a result of the transaction.

The advice included comprehensive assistance to Indusur regarding the termination of its employees and full payment of local labour law provisions, with the objective of mitigating any labour-related risks to Nyne Waters. As a result, a cross-border registration process for the new trademarks was initiated.

Finally, the firm is currently advising Nyne Waters on the structuring of a strategic investment plan that will allow it to access the tax benefits granted by Law 60/90 in the framework of the execution of the project, which includes environmental actions.
