Ferrere assists in the acquisition of CYTASA
Ferrere, through its team in Paraguay, has assisted the buyer in the acquisition of all the shares of Colonización y Transformación Agraria (CYTASA), a Paraguayan company dedicated to agricultural activities.
This transaction is part of the divestment process by its two shareholders: Empresa de Transformación Agraria (TRAGSA) and Tecnologías y Servicios Agrarios (TRAGSATEC).
The divestment of 100% of CYTASA’s shares was carried out through a public auction process managed by the Sociedad Estatal de Participaciones Industriales (SEPI), with the advice of Metyis, as both shareholders are fully public companies of the Kingdom of Spain.
The advice involved comprehensive legal support to the buyer throughout the transaction, covering the due diligence stage, the acquisition and closing process, and also tax issues, as well as liaising with the Spanish law firm, Cuatrecasas, on questions of capacity and authority under Spanish law, and advice on post-closing matters.
