Pérez-Llorca represents Domtar Paper in Receiptco acquisition
Pérez-Llorca has represented Domtar Paper Company in the acquisition of Atlas Receiptco Holdings’ paper roll business held by Iconex, through the acquisition of the entire New Receiptco Opco entity.
The transaction required the prior separation of Iconex Paper’s labelling business, which involved a number of legal, regulatory and tax challenges to implement. The labelling business was in turn sold, in a separate transaction, by Iconex Paper to M2S Group of the Wynnchurch Capital fund. The transaction also involved a parallel asset sale and purchase between Comtar and Iconex in Canada.
This acquisition was completed on 1 November and involved the jurisdictions of Mexico, the United States and Canada. Troutman Pepper Hamilton Sanders acted as lead counsel to the buyer in the US, while King & Spalding acted as lead counsel to the seller in the US.
Domtar Paper Company is part of the Canadian group Paper Excellence Canada Holdings Corporation. In addition, Iconex Paper (Iconex and New Receiptco Opco) is part of Atlas Holdings.
