Ferrere represents Darling Ingredients in Gelnex Gelatin acquisition

Ferrere Paraguay has represented Darling Ingredients on the acquisition of Gelnex Gelatin, a Brazilian producer of gelatin and collagen.

The acquisition included six facilities (five in South America, one in the US) with the capacity to produce 46,000 metric tons of gelatin and collagen products per year.

The consultancy implied support in the due diligence process of Gelnex’s Paraguayan entity, owner of one of the main animal gelatine manufacturing plants, as well as the preparation of a due diligence report. This process involved work on corporate, regulatory, real estate, environmental, financial and litigation issues. It also included the review and drafting of the main documents related to the transaction (SPA and Disclosure Letter, among others).

Darling Ingredients is a company in the transformation of food waste into sustainable products and a producer of renewable energy.

Ferrere’s team was led by partner Verónica Franco (pictured) and senior associate Raul Pereira Fleury, together with a large team of professionals, including Marcelo Rodriguez, Martín Parra and Mateo Román Saguier.
