Freitas Ferraz advises Prospectiva on TSXV listing
Freitas Ferraz Advogados advised Prospectiva Resources (UK) on the Brazilian legal aspects of its Qualifying Transaction with Pentagon I Capital Corp, a capital pool company listed on the TSX Venture Exchange (TSXV).
Under the deal, Pentagon acquired Prospectiva and subsequently changed its name to Prospectiva Resources (Canada). Following completion of the transaction and receipt of the required TSXV approvals, the common shares of the resulting issuer began trading on the exchange under the ticker PSVA on August 14, 2026.
Prospectiva is a mineral exploration company focused on copper and gold projects in Brazil, with assets in the states of Pernambuco and Paraíba. Its holdings include the São Francisco Copper-Gold Project, which the company describes as its flagship exploration asset.
Freitas Ferraz’s regulatory team was led by partner Thiago Riccio, alongside associates Marcela Assis and Maria Julia Tobase. The corporate and M&A team was headed by partner Bernardo Freitas, with associates Pedro Vidigal and Bruna Frasson.
Prospectiva Resources (UK) was also advised by Peterson McVicar LLP on the Canadian legal aspects of the transaction, with a team led by partner Jonathan Clark. Prospectiva Resources (Canada) was represented by James McVicar, senior partner at Peterson McVicar LLP, while Paradigm Capital acted as sole agent and bookrunner for the transaction.
