GC advises on $185m refinancing for APR Energy

Gonzalez Calvillo has advised Citibank, among others, as administrative agent, UMB Bank, as collateral trustee, and two leading US banking and financial institutions on the $185 million refinancing of APR Energy.

This transaction closed on 23 September, involving the jurisdictions of Mexico, the United States and the United Kingdom. Milbank acted as counsel to the banks in London; while Gibsonn Dunn and Santiestevan & Duclaud acted as counsel to APR Energy in the US and Mexico, respectively.

The advice involved the implementation of a security package in respect of the assets of APR, and certain affiliates in Mexico, through various asset and equity pledge agreements. In addition, it required APR’s Mexican subsidiary to adhere to foreign documents subject to US and UK law.
