GC represents Bradesco in acquisition of Ictineo shares
Gonzalez Calvillo has represented Banco Bradesco, and its Mexican subsidiary Bradescard Mexico, in the preparation, negotiation and signing of a share purchase agreement for the acquisition of all the shares issued by Ictineo Plataforma, a popular financial company.
The objective of this acquisition is to expand the financial services that Bradesco offers in Mexico, particularly through digital means, as such services are currently limited to the issuance of credit cards.
The transaction was signed on 16 August, and its closing remains subject to regulatory approvals by the Mexican National Banking and Securities Commission and the Brazilian Central Bank, as well as other conditions. The law firm Bello Gallardo Bonequi y Garcia acted as advisor to Ictineo.
The advice involved structuring the negotiation in the jurisdictions involved (Mexico and Brazil), in addition to adjusting and matching different concepts of foreign law within the legal framework of the transaction. Furthermore, complex contractual agreements were established between all parties to document their relationship and meet the client’s objectives.
