GC represents TMA in acquisition of Eagle Technology assets

Gonzalez Calvillo has represented TMA Systems in the acquisition of the assets of Eagle Technology, a Mequon-based software development company, and the shares of its Mexican subsidiary Eagle Technology Mexico.

This transaction was closed on 1 September for $4,450,000 and involved both Mexican and US jurisdictions.

Other participating firms were Dickinson Wright, as US counsel to TMA, and Rose & de Jong as US counsel to Eagle Technology.

The advice involved adjusting and matching different concepts of foreign law within the legal framework of the transaction (US law), negotiation and closing of complex documents, which, due to the needs of the parties, were implemented in just a couple of weeks.

TMA Systems is an Oklahoma-based software company that provides maintenance management software (MMS) and enterprise asset management solutions (EAMS) to organisations.

Dickinson Wright’s team included members Erin M. Pawlowski and Benton B. Bodamer, and associates Courtney L. Pyatt, Cristina N. Luse and Allison N. Roberta.

Rose & de Jong’s team consisted of attorneys Cate M. Heerey and Mitch Kiffmeyer.
