Gómez-Pinzón assists Cemex in delisting tender offer in Colombia
Gómez-Pinzón, together with the Spanish law firm Uría Menéndez, has assisted Cemex and Cemex España in the delisting tender offer launched on the shares listed on the Colombian Stock Exchange of the Spanish company Cemex Latam Holding (CLH).
The purchase price per ordinary share was $4,735 Colombian pesos, and Cemex Spain acquired a total of 23,232,946 ordinary shares of CLH for a total amount of COP$110,007,999,310 (approximately USD$23,159,579).
The advice involved aligning the requirements of the delisting tender offer, which is subject to Colombian stock market regulations, with Spanish corporate regulations.
