KLA and PMK advise on BRL 219M property deal
KLA Advogados and PMK have advised on the structured sale of nine corporate slabs — comprising 18 individual units — located in the Carvalho Building within the corporate subsector of the “O Parque” Condominium in São Paulo. The assets were sold by OPQ Fundo de Investimento Imobiliário to TRX Real Estate Fundo de Investimento Imobiliário for a total consideration of BRL 219,436,510.42.
The properties are fully leased to Hospital Sírio-Libanês under a long-term Built-to-Suit modality, which also encompassed a complex bailment (comodato) agreement covering operational infrastructure. The transaction involved the preparation and management of sell-side legal due diligence, the drafting and negotiation of definitive sale agreements, the structuring of a financial guarantee granted by the buyer in favor of the seller, and the negotiation of the assignment of an active construction contract for hospital-specific property adaptations.
KLA Advogados advised TRX Gestora de Recursos on the buyer’s side. The operation was led by partners Luanda Backheuser, from the Real Estate practice, and Livia Siviero Huh (pictured left) , from the Capital Markets practice, with the participation of attorney Verônica Linardi, also from the Real Estate team.
PMK acted for OPQ as seller, covering the full transaction lifecycle from the sell-side. The team was led by partners Fernando José Maximiano (pictured right) and Patricia Godoy Monteiro, with the support of Diogo Ramos Ferreira and Leticia Mendes Caran.
