Cescon Barrieu advises on Nu Financeira notes

Deal details

Cescon Barrieu advised Nu Financeira, UBS BB Corretora de Câmbio, Títulos e Valores Mobiliários and Itaú BBA Assessoria Financeira, on the 18th issuance of financial notes in two series for public offering, issued under Law 12.249, CMN Resolution 5.007 and CVM Resolution 8. The transaction reached a total amount of BRL 1,588,400,000, making it a significant debt capital markets operation in Brazil.

The offering involved the public distribution of bank bonds — a category subject to distinct regulatory requirements compared to equity and other debt instruments — demanding specific technical expertise to satisfy all applicable compliance obligations, including Brazilian Central Bank (BACEN) regulations and securities laws.

Nu Financeira is the credit, financing and investment arm of Nubank, one of the largest digital financial services platforms in the world, serving over 110 million customers across Brazil, Mexico, and Colombia. The group has been driving transformation in the financial industry through data-driven and proprietary technology solutions.

The Cescon Barrieu team was led by partners Mariana Borges and Marianno Cunha, supported by associates Vittoria Simoni, José Altamiro Junior, and João Pedro Gaspar.
