Veirano advises Tessenderlo on the PB Brasil acquisition

Veirano Advogados acted as counsel to Tessenderlo Group, a Belgian company listed on Euronext Brussels and a producer of gelatin and collagen peptides, on the acquisition of the remaining 40% stake in PB Brasil Indústria e Comércio de Gelatinas from D&D Participações Societárias, a Brazilian limited liability company engaged in the production of gelatin and collagen. The transaction, which closed in June 2026, brings Tessenderlo to 100% ownership of PB Brasil.

The deal marks the conclusion of a multi-year investment cycle that began with Tessenderlo’s original 60% acquisition of PB Brasil, with the structured sale of the remaining 40% stake carried out over successive closing events since 2022. The transaction value was not disclosed.

The Veirano team was led by partner Renata Fialho de Oliveira (pictured), alongside associate Guilherme Bardini Gil and lawyer Felipe Di Iorio Tavares, all from the Corporate M&A practice.

Melhem Advogados, through Marcel Melhem, also participated in the transaction.
