Lefosse advise on the first issuance of debentures for by Ineer
Lefosse advised on the first issuance of incentivised debentures for public distribution under CVM 160, by Ineer Locação de Equipamentos II, a company held by Grupo Mendes, for the financing of the construction and operation of 21 distributed generation projects.
The debentures were secured by a corporate guarantee from GMendes Participações and Ineer Locação, as well as the customary project finance collateral package, which included security over the equipment, the issuer’s shares, the real estate properties related to the projects, and the receivables of project contracts. The transaction value was BRL 200 million.
Lefosse acted as deal counsel, assisting both Itaú BBA Assessoria Financeira, as lead underwriter, and Ineer Locação de Equipamentos II, as issuer, as well as its shareholders, as guarantors, in all aspects of the transaction and relied on partner Miriam Signor (pictured); Pedro Dante, Ligia Padovani and Breno Sarpi; counsel Renato Edelstein and Alexandre Barbosa; associates Mariana David; Murilo Rêgo, Giovana Nidecker and Victoria Viola.
