Lefosse advises on Celse issuance

Lefosse acted as legal counsel to CELSE – Centrais Elétricas de Sergipe and ENEVA, as guarantor within the scope of the public offering for secondary distribution, of debentures, of the third series, of the 2nd issuance of CELSE, held by Itaú Unibanco, Banco Bradesco, Engelhart CTP and Banco Citibank (together, the “selling debenture holders”), representing 80% (eighty percent) of the third series debentures in circulation, in the total amount of R$572,727,802.92.

The offering was coordinated by Banco Itaú BBA, Banco Bradesco BBI, BTG Pactual Investment Banking, and Banco Citibank, acting as intermediary institutions of the offer. Public offering for secondary distribution: the third series debentures were primarily offered exclusively to professional investors as defined in CVM Resolution 30, therefore only negotiated between professional investors. Considering that the third series debentures were issued pursuant to article 2 of Law 12,431/211, therefore, related to infrastructure projects, article 26, IX, of CVM 160 permits that debentures issued pursuant Law 12,431/2011 be publicly offered and sold to Qualified Investors provided that the prospectus and public offering sheet are used, according to models pre-established in CVM 160.
