Lefosse assists Gol Linhas Aéreas in offering and sale of notes

Lefosse acted as special Brazilian counsel to Gol Linhas Aéreas (GLA) and Gol Linhas Aéreas Inteligentes (GLAI) in connection with a significant offering and sale of senior and subordinated secured notes.

The offering included the following notes issued by Gol Finance under an indenture dated December 30, 2022, as supplemented from time to time, pursuant to the first supplemental indenture dated January 27, 2023.

1.         USD 125,699,947.99 of 5.00% senior secured notes due 2026.

2.         USD 70,077,902.47 of 3.00% subordinated secured notes due 2025.

3.         USD 6,992,575.20 of 5.00% senior secured notes due 2026.

4.         USD 19,976,057.79 of 3.00% subordinated secured notes due 2025.

5.         USD 9,000,000.00 of 3.00% subordinated secured notes due 2025.

6.         USD 8,969,735.96 of 5.00% senior secured notes due 2026.

The purchase and sale of the second issue additional senior notes were governed by a purchase agreement dated July 19, 2023, among the issuer, the guarantors, the trustee, and the purchasers.
