Lobo de Rizzo and Stocche Forbes involved in transaction to finance Complexo Eólico Rio do Vento

 

Lobo de Rizzo Advogados advised the issuer in the public offering with restricted efforts of placement of the first issue of debentures issued by RDVE Subholding, pursuant to Instruction 476 of the Brazilian Securities and Exchange Commission (CVM), in the total amount of R$430 million.

Stocche Forbes Advogados advised the underwriters, Banco BTG Pactual, Banco Itaú BBA and Banco de Desenvolvimento Econômico e Social – BNDES, This is the first time BNDES acted as underwriter in a public offering.

The debentures issued by RDVE Subholding S.A. are the first green debentures issued by the Casa dos Ventos group, which will finance the expansion of the Complexo Eólico Rio do Vento, one of the largest onshore wind farms in the world, through the construction and operation of new wind power plants located in the cities of São Tomé, Caiçara do Rio do Vento and Lajes.

Additionally, the law firm Stocche Forbes also advised Itaú Unibanco S.A., Banco Bradesco S.A., Banco do Brasil S.A. and Banco Alfa de Investimento S.A., acting as guarantor banks, in the issuance of letters of guarantee to secure the debentures mentioned above and the loan agreement contracted by Ventos de São Longino Energias Renováveis S.A., Ventos de Santa Lívia Energias Renováveis S.A., Ventos de São Leão I Energias Renováveis S.A. and Ventos de São Ludgero Energias Renováveis S.A. with Banco do Nordeste S.A. – BNB, for the financing of the expansion of the Rio do Vento Wind Complex.

The amount involved was R$599,977,000.00 (Loan Agreement); R$ 430,000,000.00 (Debentures), resulting in a total amount of R$ 1,029,977,000.00 (full financing). Total: R$1.984.274.000
