Multiple firms on Viveo acquisition of Proinfusion

Coelho & Dalle Advogados, Madrona Advogados, BMA Advogados, VDV Advogados and Pinheiro Neto Advogados advised companies in the acquisition of Proinfusion by Viveo

Viveo announced on Wednesday (11) the acquisition of Pro Infusion. According to Viveo, such transaction, together with the purchases of Life and Famap, is part of the strategy to build its manipulation platform.

Pro Infusion, founded in 1989, operates in the health sector, offering, especially to hospitals and health operators, pharmaceutical handling services for antineoplastic therapies with a focus on oncological treatments, parenteral nutrition handling, and other sterile solutions.

The conclusion of the transaction is subject to approval by the Administrative Council for Economic Defense (Cade).

Coelho & Dalle Advogados (partner Eduardo Coelho (pictured top left) and associates Brenda Oliveira and Beatriz Miranda) advised all the sellers in the whole due diligence process from the beginning and the discussions that followed it (contingencies, liabilities, etc), and also advised Vinci Partners (through its investment fund Vinci Impacto e Retorno IV), as one of the sellers, in the contract drafting.
