MACF advises on tender offer for Interceramic acquisition
Mijares Angoitia Cortés y Fuentes has advised Scotia Inverlat Casa de Bolsa, Grupo Financiero Scotiabank Inverlat, as intermediary, in the tender offer initiated by Holding Lupo Corporation IC 2, a vehicle controlled by the Almeida-Kohler Group, for the acquisition of up to 61.35% of the outstanding shares of Internacional de Cerámica (Interceramic).
Among other conditions, the tender offer was subject to the condition of the financing (and the terms of the financing) and the acquired shares were immediately delivered as collateral for the financing upon liquidation.
The transaction, signed on 22 May and closed on 26 June, was valued at MXN8,634,504,500. Galicia Abogados also participated in the transaction.
