Machado Meyer advises Safra on BRL667M deal
Machado Meyer has advised Banco Safra on a structured financial securitization operation worth BRL666,666,666.66 (approximately USD 127.6 million). The transaction involved the assignment of credit rights from the bank’s proprietary portfolio to Opea Securitizadora, with the bank subsequently subscribing to all debentures backed by those credits.
The operation was structured through the issuance of simple financial securitized debentures — non-convertible into shares, unsecured, in a single class and series — by Opea Securitizadora within the scope of its 40th issuance. The public distribution was carried out under the automatic registration procedure, in accordance with CVM 160, and was intended exclusively for professional investors. Settlement of the offering took place on February 19, 2026.
The issuance is backed by the assignment, by Banco Safra as assignor, of 100% of the credit rights arising from the 3rd series of commercial notes included in the 1st issuance originally carried out by Furnas – Centrais Elétricas, which was subsequently incorporated by Centrais Elétricas Brasileiras – Eletrobras.
