Vouga counsels on $665m Villeta Project deal

Vouga Abogados has advised an investor consortium led by Hy24 and comprising Impact Fund Denmark, IFC, DEG, and Sudameris Bank on its investment in and acquisition of a stake in Atome Paraguay, in connection with the USD 665 million financing of the Villeta Project in Paraguay.

The Villeta Project is described as the world’s first large-scale industrial facility dedicated to the production of low-carbon fertilizers, with a projected annual capacity of 260,000 tons. The transaction is positioned as a milestone for Paraguay’s role as a hub for sustainable industrial investment.

Vouga Abogados provided comprehensive legal support to the investor consortium across multiple workstreams, including legal due diligence under Paraguayan law, corporate and transaction structuring, review and negotiation of transactional documents, regulatory analysis, advice on local aspects of the financing, and support through closing.
