Madrona and Mattos Filho advise on WTorre deal
WTorre has agreed to sell control of the holding company that owns Nubank Parque, the stadium of Sociedade Esportiva Palmeiras, to an investment fund affiliated with the BTG Pactual Group. The transaction, signed on 1 September 2026, remains subject to the satisfaction of certain conditions precedent, including clearance from Brazil’s antitrust authority, CADE.
The operation, internally referred to as “Projeto Pinguim,” involved the negotiation of a Share Purchase Agreement and a Shareholders’ Agreement, as well as the structuring of the overall transaction. Madrona Advogados advised WTorre S.A. throughout the process, covering both the corporate and tax aspects of the deal.
The buy side of the transaction was represented by the Fundo de Investimento em Direitos Creditórios Alternative Assets I, which was advised by Mattos Filho. On the financial side, Vinci Partners acted as financial advisor to WTorre.

The tax component of the deal was handled by partner Rafael Malheiro.
WTorre was also assisted internally by its in-house lawyers Vilma Souza and Ana Ansaldo, while Ricardo Assumpção, João Pedro Kappes and Júlia Haddad of Vinci Partners served as financial advisors to WTorre.
