Mattos Filho and Bichara advise on EDF asset sale to J&F

Mattos Filho and Bichara Advogados served as legal advisors in the sale by EDF International SAS of 100% of its equity interest in Usina Termelétrica Norte Fluminense to J&F.

The target owns UTE Norte Fluminense, an 827 MW thermoelectric power plant, as well as the greenfield development project UTE Norte Fluminense 2. This was a highly competitive process, attracting multiple binding offers from key players in the energy sector—reflecting both the strategic relevance of the assets and the growing demand for reliable thermoelectric generation capacity in Brazil.

The transaction further consolidates J&F’s position in the national energy market. The deal was signed on December 10, 2025, and closed on March 13, 2026, with a disclosed value of BRL 1.4 billion.
