Mattos Filho represent Ternium Group in a lawsuit

Mattos Filho represent the Ternium Group in a lawsuit filed by CSN, in 2012. CSN claims that the acquisition of shares of the Usimina’s controlling block, by Ternium Group, trigged, to the Ternium Group, the obligation to launch a mandatory tender offer (tag-along offer).

CSN requests that Ternium Group is obliged to make the tag-along offer or, subsidiarity, that Ternium Group is forced to purchase all CSN’s shares in Usiminas.

The trial court has not granted CSN requests. The ruling was upheld by the Appellate Court. CSN filed a special appeal seeking the overturning of the decisions by the Superior Court (STJ).

On 5th March 2023, the STJ upheld the Appellate Court decision by the majority of votes (3 votes to uphold vs. 2 votes to overturn). The STJ decision is still subject to appeals before the case becomes final.
