MCRM counsels Bunge on Viterra acquisition

Mitrani Caballero & Ruiz Moreno has counselled Bunge Limited in Argentina on an agreement to acquire Viterra Limited for more than US$30 billion.

Under the terms of the agreement, Viterra’s shareholders, Glencore and CPP Investments, will receive approximately 65.6 million Bunge shares, with an aggregate value of approximately US$6.2 billion, and approximately US$2 billion in cash, representing a consideration of approximately 75% in Bunge shares and 25% in cash. As part of the transaction, Bunge will assume $9.8 billion of Viterra debt, which is associated with approximately $9 billion of highly liquid stock.

This transaction will create a diversified global agribusiness solutions company, strengthening Bunge’s market position.
