Multiple firms advise on Avianca’s US$600 million senior notes offering

Multiple law firms have acted as legal counsel in connection with the issuance of US$600 million in 9.500% Senior Secured Notes due 2031 by Avianca Group, further strengthening its track record in high-profile cross-border financing transactions.

Avianca Group was represented internationally by Simpson Thacher & Bartlett. In Ecuador, Spingarn advised as local counsel, led by partners Sebastián Saá Tamayo (pictured top right) and Sebastián Reina Báez (pictured top left), along with director Lisseth Armijos Romero, and associates Pablo Aguinaga Trillos, Leslie Galárraga, and Melissa Hidalgo Muñoz.

Robalino firm, also in Ecuador, advised a syndicate of leading financial institutions on the offering, which was carried out by Avianca MidCo 2 PLC, a subsidiary of Avianca Group.

The net proceeds of the issuance will be used to redeem a portion of the Group’s existing 9.000% Senior Secured Notes due 2028 and for general corporate purposes, effectively extending the maturity profile of its indebtedness.

International counsel to the initial purchasers was provided by Davis Polk & Wardwell. Avianca Group was represented internationally by Simpson Thacher & Bartlett, with Walkers Global advising on Bermuda and Cayman Islands law matters. Law firms in Panama, Alfaro, Ferrer & Ramírez, Bofill Mir Abogados in Chile, Jones Day, in Mexico, and Pérez- Llorca, in Colombia also participated in the deal.
