Muñiz represents Nature Wood in ADS IPO

Estudio Muñiz has represented Nature Wood Group (Nature Wood), a company organised and existing under the laws of the British Virgin Islands, in its Initial Public Offering (IPO) of 750,000 American Depositary Shares (ADSs) at a price of US$ 9.00 per ADS, representing 6’000,000 new shares of the company.

The securities offering closed on 14 September and the ADSs traded from 12 September under the ticker symbol “NWGL” on the NASDAQ Capital Market. This transaction also implied an option for the Underwriters to place an additional 112,500 ADSs if demand for the IPO exceeded the volume initially considered for listing on NASDAQ.

Hunter Taubman Fischer & Li, and Emmet Marvin & Martin advised the underwriters and the depositary, respectively, under New York law. The issuer was advised by Muñiz Law in Peru, Loeb & Loeb in New York, Jingtian & Gongcheng in China, Lau Kwong & Hung in Hong Kong, Leon Hon Man in Macau, Bochamp AARPI in France, and Ogier in the British Virgin Islands.

Nature Wood intends to use the proceeds from the IPO to acquire new concession rights and forestry businesses, mills in Europe and South America, develop new products, finance working capital, among other corporate objectives.

Nature Wood has operations in Peru, France, Hong Kong and Macau through its various subsidiaries. In Peru it holds forest concessions covering an area of approximately 615,000 hectares.
