PAGBAM helps Evonik in acquisition of Novachem

Pérez Alati Grondona Benites & Arntsen has advised Evonik Methylates on the acquisition of 100% of Novachem.

Thanks to this acquisition, Evonik will enhance its portfolio of system solutions with a strong and innovative portfolio of biotechnological, natural and sustainable cosmetic active ingredients with scientifically proven claims.

In addition, the advisory involved the establishment of a guarantee trust, with TMF Trust Company (Argentina) acting in its capacity as trustee and not in its personal capacity, for the purpose of the sellers guaranteeing to Evonik certain obligations and liabilities assumed by the sellers in the instalment purchase agreement.

Marval O’Farrell Mairal acted as counsel to TMF Trust Company (Argentina), while Berken IP advised the sellers.

Novachem is a company that researches, develops and commercialises biotechnological, natural and sustainable active ingredients for the cosmetics industry.

Felipe Couyoumdjian and Leonardo Pirolo acted as in-house counsels for TMF Trust Company (Argentina).

Berken IP’s team included partners Pedro Berkenwald and Federico Ulled.
