PHR counsels Concesión La Pintada on the refinancing of Conexión Pacífico 2 motorway

Posse Herrera Ruiz has counselled Concesión La Pintada, together with its shareholders Odinsa and West Valley JL Holdco Limited, on the peso-denominated refinancing of the Autopista Conexión Pacífico 2 motorway project.

This transaction was announced on May 6 and closed on June 9, and was carried out through a credit agreement, under Colombian law, in the amount of $840,000,000,000,000 Colombian pesos.

The refinancing was granted under Concession Contract No. 006 of 2014 part of the second group of fourth generation (4G) highways in Colombia.

Banco Davivienda and Bancolombia acted as lenders in pesos. Compartment A of the private equity fund FCP Deuda Infraestructura II Sura – Credicorp Capital and Compartment Liquidity I of the private equity fund FCP 4G – Credicorp Capital – Sura Asset Management acted as liquidity lenders; while Cititrust Colombia Sociedad Fiduciaria acted as administrative agent.

Paul Hastings acted as international counsel to Concesión La Pintada and its shareholders; while Mayer Brown, Brigard Urrutia and Cuatrecasas have advised the lenders.

Paul Hastings’ team consisted of partners Robert Kartheiser and Thomas Sines, together with lawyer Juan Martín Estrada.

Mayer Brown’s team was represented by partner Juan Pablo Moreno and lawyer Luis Schrader.
