Pinheiro Guimarães and Machado Meyer advise on CBV issue

Pinheiro Guimarães assisted CBV – Centro Brasileiro da Visão in the issuance and public offering of non-convertible secured debentures, in two series, guaranteed by CERPO – Centro de Recuperação de Patologias Oculares and HOPE – Hospital de Olhos de Pernambuco, in the total amount of R$450 million.

The debentures of the first series are guaranteed by the fiduciary assignment of credit rights of health plans as well as receivables arising from credit card transactions; and the guarantee provided by CERPO – Centro de Recuperação de Patologias Oculares and HOPE – Hospital de Olhos de Pernambuco.

The debentures of the second series are guaranteed by fiduciary assignment of an escrow account that will receive funds arising from credits originated by transactions with health plans; and by the surety.

Pinheiro Guimarães acted as counsel to the issuer and relied on partners Ivie Moura Alves (pictured left), Fernando John Friedmann Junior, associates Luiza Furtado and Murilo Begha.

Machado Meyer Advogados advised Itaú BBA Assessoria Financeira and Banco Bradesco BBI as underwriter and relied on partners Raphael Zono (pictured right) and Fernanda Cury.
